Welcome to WeSignDeal ("WeSignDeal", the "Platform", "we", "our", or "us").
These Terms and Conditions ("Terms") govern your access to and use of the WeSignDeal website, mobile applications, software, products, features, and services.
By accessing, registering with, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you should not use the Platform.
Please read section 9 (Government Stamp Duty) and section 10 (Self-Arranged Stamp Duty and Self-Upload) carefully. Stamp duty applicability and amounts are determined by you, not by WeSignDeal. These Terms should be read together with our Privacy Policy and Cookie Policy.
1. About WeSignDeal and What the Platform Does
WeSignDeal is a technology and document facilitation platform that assists users in preparing, organizing, reviewing, executing, signing, managing, and processing agreements and related documentation.
Depending on the services available through the Platform, WeSignDeal may facilitate workflows relating to:
- Agreement preparation and document generation
- Residential rent, commercial rent, and leave and license agreements
- Employment-related documents, including job offer letters and acceptance records
- Non-disclosure, confidentiality, and non-competition agreements
- Freelancer, consultancy, service, and vendor agreements
- Partnership and LLP partnership agreements
- Loan agreements
- Affidavits and declaration-style documents
- Document collection, upload, and management
- Electronic and digital signing workflows, including Aadhaar eSign for India
- Stamp duty and eStamp processing facilitation, where available
- Identity and document verification workflows
- Payment processing
- Agreement status tracking and audit records
- Document storage and download
- Related technology and document-processing services
What WeSignDeal is not
WeSignDeal is a technology and document facilitation platform. WeSignDeal is not:
- A government authority or government department
- A registrar or registration office
- A police department or a court
- A law firm or a legal advisor
- A chartered accountant or a tax advisor
- A notary public
- A licensed financial institution
Unless expressly stated otherwise, WeSignDeal does not provide legal, tax, financial, or professional advice. Templates, default clauses, help content, guides published in our Knowledge Centre, and answers in our FAQ Centre are general information only.
Use of the Platform does not create an attorney-client, advisor-client, fiduciary, or similar professional relationship. You should obtain independent professional advice where your transaction is significant, unusual, or jurisdiction-sensitive.
2. Eligibility
To use the Platform, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into agreements
- Provide accurate and complete information
- Use the Platform only for lawful purposes
- Have the authority to submit information and documents relating to the relevant agreement or transaction
By using the Platform, you represent and warrant that you satisfy these requirements.
Where you use the Platform on behalf of a company, firm, LLP, trust, or other organisation, you represent that you are authorised to bind that entity to these Terms, and "you" refers to both you and that entity.
WeSignDeal may refuse, restrict, suspend, or terminate access where eligibility requirements are not satisfied.
3. User Accounts and Account Security
Certain services require the creation of a user account. You are responsible for:
- Maintaining the confidentiality and security of your account
- Protecting your login credentials, passwords, and authentication information
- Providing accurate account information and keeping it current
- All activities conducted through your account
- Ensuring that unauthorised persons do not access your account
You must immediately notify WeSignDeal if you become aware of any unauthorised use, suspected compromise, or security breach involving your account.
WeSignDeal may implement email verification, one-time passwords, identity checks, security verification, device verification, or other authentication measures.
You must not share authentication codes or one-time passwords, and you must not intentionally allow another person to impersonate you or sign in your name.
4. Information and Documents You Provide
The Platform may allow or require users to provide or upload information and documents, including names and contact information, business information, addresses, identity documents, Aadhaar-related and PAN-related information where applicable, driving licence documents, address proof, utility bills, property information and property documents, index copies, rental or commercial information, photographs, selfies, electronic signatures, agreement information, and payment and transaction information.
By submitting information or documents, you represent and warrant that:
- You have the legal authority to provide the information
- You have obtained any permissions or authorisations required from relevant persons, including other agreement parties
- The information provided is true, accurate, complete, and current to the best of your knowledge
- Documents submitted by you are genuine and have not been unlawfully altered or forged
- You possess the necessary rights and permissions to submit and process the information
- Your use of the information does not violate applicable law or the rights of another person
You are responsible for reviewing all information before submission. WeSignDeal is not responsible for inaccuracies, omissions, false statements, spelling errors, incorrect addresses, incorrect dates, incorrect amounts, or other errors arising from information supplied or confirmed by users.
Submission of false, fraudulent, forged, misleading, or unauthorised information may result in suspension or termination of services and may be reported to appropriate authorities where required by law.
5. Agreement Preparation and Document Generation
The Platform may generate agreement drafts, documents, clauses, or other materials based on information supplied or selected by users. You can review the workflow in detail on our How it works page and browse available document types on Do Agreement Online.
Users acknowledge and agree that:
- Agreement templates are provided for convenience and document facilitation
- Templates may not be suitable for every transaction or circumstance
- Users are responsible for reviewing the complete agreement before submission or signing
- Users are responsible for verifying names, addresses, dates, amounts, terms, clauses, and other agreement information
- Users are responsible for determining whether an agreement is appropriate for their circumstances
- WeSignDeal does not provide legal advice
- WeSignDeal does not guarantee that a template satisfies every legal, regulatory, registration, or commercial requirement
- Applicable legal requirements may vary depending on the State, Union Territory, country, transaction, parties, property, and circumstances
Users should obtain independent legal or professional advice where they are uncertain about the legal effect, suitability, enforceability, tax treatment, stamp duty, registration requirement, or consequences of an agreement.
Where users are permitted to edit default terms, special conditions, or clauses, the user is solely responsible for all changes made to those terms or clauses and for the legal effect of those changes.
6. Remote Party Verification and Document Access
Some workflows invite each agreement party to complete verification through an individual secure link sent to that party. Depending on the agreement type and configuration, a party may be asked to capture a live selfie, draw or upload a specimen signature, upload identity or supporting documents, and confirm their details.
Users acknowledge and agree that:
- Verification links are personal to the invited party and must not be forwarded to or completed by another person
- Completing a verification step is a representation by that party that the information and images submitted relate to that party
- Certain agreement fields may become locked once verification links have been issued, payment has been made, or signing has commenced, so that all parties review the same document
- Preview or draft copies of a document may be watermarked, masked, or restricted until the workflow reaches the relevant stage
- Verification, device, timestamp, and audit information may be recorded as described in our Privacy Policy
Identity verification and document checks are workflow controls. They reduce risk but do not constitute a legal certification of identity, title, authority, or the truth of any statement made by a party.
7. Electronic Signatures, Aadhaar eSign, and eSign Services
The Platform may facilitate electronic signatures, digital signatures, Aadhaar eSign, or other electronic document execution workflows through WeSignDeal or authorised third-party service providers, including eSign service providers empanelled or authorised under applicable Indian law.
By using electronic signing features, users acknowledge and agree that:
- Electronic signatures or eSign records may have legal effect where recognised under applicable law
- Electronic records may be retained as evidence of document execution
- Audit logs, date and time information, technical and transaction information, and signing status records may be generated and maintained
- Third-party electronic signature providers may process information required to complete the signing workflow
- Aadhaar eSign is an India-specific facility and requires the signer to complete authentication through the configured gateway
Users are solely responsible for reviewing the complete document before signing. A user must not sign a document on behalf of another person unless legally authorised to do so.
WeSignDeal does not guarantee that every authority, organisation, court, registrar, financial institution, employer, or other third party will accept every form of electronic signature for every purpose. Where a specific form of signature, wet-ink execution, witnessing, notarisation, attestation, or registration is required for your transaction, it is your responsibility to identify and satisfy that requirement.
8. Authorisation to Process Documents
Where applicable, users authorise WeSignDeal to perform the specific services requested through the Platform, which may include preparing documents based on user-provided information, generating agreement drafts, coordinating documentation workflows, communicating with relevant service providers, coordinating electronic execution processes, facilitating eSign workflows, facilitating stamp duty or eStamp processing where selected, assisting with document or identity verification workflows, generating final documents, and providing completed documents for download.
This authorisation is limited to the services selected or requested by the user.
Such authorisation does not create an attorney-client relationship, fiduciary relationship, partnership, joint venture, or general agency relationship between the user and WeSignDeal.
WeSignDeal does not have authority to make legal decisions on behalf of users unless expressly authorised and legally permitted for a specific service.
9. Government Stamp Duty and User Responsibility
Stamp duty requirements and the amount of stamp duty payable may vary depending on the nature of the document or agreement, the State or Union Territory in which an instrument is executed or used, transaction details, consideration, tenure, property details, the parties involved, and applicable laws.
WeSignDeal may display a recommended or default stamp duty processing selection based on the type of agreement selected. Any recommendation, classification, default selection, suggested amount, information, or guidance displayed by WeSignDeal is provided for general platform guidance and convenience.
Unless expressly stated otherwise, such information should not be treated as legal, tax, or professional advice or as a final determination by a government authority, court, registrar, or other competent authority.
Your responsibility
The user is responsible for determining whether stamp duty is applicable to an agreement and for confirming the appropriate amount of Government Stamp Duty payable.
Where the user selects the option to process Government Stamp Duty through WeSignDeal, the user must enter, select, or confirm the stamp duty amount to be processed. The user represents and confirms that the stamp duty selection and amount provided or confirmed by the user are based on the user's own determination, information available to the user, or professional advice independently obtained by the user.
The Government Stamp Duty amount confirmed by the user may be added to the total amount payable through the Platform for the purpose of facilitating stamp duty or eStamp processing, subject to service availability and processing requirements.
Where the user chooses to continue without Government Stamp Duty processing through WeSignDeal, the user confirms that the user has independently determined that stamp duty is not required or that the user will separately arrange payment or processing of any applicable stamp duty.
WeSignDeal does not guarantee that a stamp duty amount selected, entered, suggested, displayed, or confirmed through the Platform is legally sufficient, correct, or acceptable to a government authority, court, registrar, or other authority. Insufficient, incorrect, or unpaid stamp duty may affect the processing, registration, authentication, admissibility, use, or treatment of an instrument under applicable law.
When processing may be paused or declined
WeSignDeal may request clarification, supporting information, additional payment, correction, or confirmation before facilitating stamp duty or eStamp processing. WeSignDeal may pause, decline, or be unable to process a stamp duty or eStamp request where:
- Information is incomplete or inconsistent
- The selected amount cannot be processed
- The applicable service is unavailable
- A third-party provider is unable to process the request
- Government or provider requirements cannot be satisfied
- Additional information or documentation is required
Government Stamp Duty is separate from WeSignDeal's convenience fees, platform fees, eSign fees, processing charges, applicable taxes, and other service charges. See Pricing for how charges are presented.
The user's stamp duty selection, confirmed amount, declaration acceptance, date and time of acceptance, and relevant audit information may be recorded for transaction, processing, security, dispute-resolution, and evidentiary purposes in accordance with our Privacy Policy.
10. Self-Arranged Stamp Duty and Self-Upload
Where WeSignDeal (including by main administrator permission) allows a user to select a self-arrange or self-upload stamp duty option, the user alone is responsible for arranging, paying, obtaining, verifying, and uploading any Government Stamp Duty, eStamp, or stamp certificate for the agreement.
In that case, WeSignDeal does not procure stamp duty, does not verify the authenticity, sufficiency, amount, timing, or legal effect of any customer-uploaded stamp document, and does not place the agreement in the WeSignDeal eStamp processing queue.
WeSignDeal's role is limited to providing a technical upload and merge facility, for example placing an uploaded PDF as the first page of a signed agreement. Platform guidance, recommendations, or suggested amounts are not legal advice.
To the maximum extent permitted by law, WeSignDeal, its owners, operators, affiliates, and personnel have no liability for any claim, loss, penalty, rejection, inadmissibility, registration failure, dispute, or other consequence arising from unpaid, incorrect, insufficient, invalid, forged, late, or otherwise defective stamp duty arranged or uploaded by the user, or by anyone acting for the user.
By selecting the self-upload option or uploading a stamp PDF, the user confirms this allocation of responsibility and releases WeSignDeal from responsibility for stamp duty procurement and validity for that agreement.
11. Government and Third-Party Processing Services
Certain services may involve interaction with or reliance upon government departments, registration authorities, government portals, stamp duty or eStamp systems, identity verification providers, electronic signature providers, payment service providers, communication providers, document-processing providers, and other authorised third-party services.
Users acknowledge that government fees, stamp duty, registration charges, and third-party fees may apply; that government and third-party requirements may change; that processing timelines may vary; that government or third-party portals may experience outages; that submissions may require additional information; and that government authorities or third-party providers may reject, delay, suspend, or decline processing.
Approval, acceptance, registration, verification, authentication, or completion decisions made by government authorities or independent third-party providers are outside WeSignDeal's direct control. WeSignDeal does not guarantee approval, acceptance, registration, verification, authentication, or completion of any government-related or third-party process.
12. Fees, Charges, Taxes, and Payments
Users agree to pay all applicable amounts displayed and confirmed at checkout. Amounts payable may include Government Stamp Duty, government charges, registration fees, Aadhaar eSign or electronic signing fees, WeSignDeal convenience fees, platform or processing fees, third-party service charges, applicable taxes, and other charges associated with the selected service.
Where reasonably possible, Government Stamp Duty and other government-related amounts will be separately identified from WeSignDeal service fees. Government Stamp Duty should not be interpreted as a WeSignDeal service fee merely because payment is collected through the Platform.
Users are responsible for reviewing the payment breakdown before completing payment. Current fee structures are published on our Pricing page and are also shown in the checkout summary for your specific agreement.
WeSignDeal may suspend processing where payment is incomplete, reversed, disputed, or unsuccessful.
13. Refunds, Cancellations, and Chargebacks
Unless otherwise stated or required by applicable law:
- Payments may become non-refundable once processing has commenced
- Government fees or stamp duty already processed may not be refundable
- Third-party charges already incurred, including eSign transaction charges, may not be refundable
- Refund eligibility is determined according to the applicable refund policy and the status of the requested service at the time of the request
- Where a refund is approved, it is generally issued to the original payment method
Chargebacks, fraudulent payment disputes, or payment misuse may result in suspension of services and recovery of amounts owed.
If you believe an amount has been charged in error, contact us using the details in the final section of these Terms before initiating a payment dispute, so that we can review the transaction record.
14. Your Review Responsibility Before Locking, Paying, or Signing
Before submitting, paying for, signing, or completing an agreement, users are responsible for reviewing party names, company names, addresses, property information, agreement dates, agreement duration, payment amounts, rent or consideration amounts, deposit amounts, loan amounts, commercial terms, clauses, special conditions, uploaded documents, stamp duty selection and amount, signature requirements, and all other information contained in the agreement.
The user is responsible for correcting errors before the relevant agreement reaches a locked, paid, signed, processed, or completed status.
Certain information may not be editable after verification links are issued, payment is made, eStamp processing begins, electronic signing begins, or final document generation commences.
Additional fees, reprocessing, cancellation, or creation of a new agreement may be required where changes are requested after processing begins.
15. Availability Outside India and Country-Specific Limits
The Platform may be used to prepare and execute documents for parties in India and, where supported, in other countries. Feature availability differs by country.
- Aadhaar eSign is an India-specific electronic signature facility and is available only to signers who can complete Aadhaar-based authentication through the configured gateway
- Government eStamp and stamp duty facilitation are available only for supported Indian States and Union Territories, and only for supported agreement types
- Where Aadhaar eSign or eStamp is unavailable, an alternative electronic signing or documentation workflow may be offered, or the workflow may not be available at all
- Registration, notarisation, witnessing, attestation, consumer-protection, tenancy, employment, and data-protection requirements differ by country and are your responsibility to identify
You are responsible for ensuring that your use of the Platform, and the document you create, is lawful in every jurisdiction relevant to you and to the other parties. WeSignDeal makes no representation that the Platform or any document is appropriate or available for use in any particular country.
16. Acceptable Use and User Conduct
Users shall not:
- Submit false or misleading information
- Upload forged or fraudulent documents
- Impersonate another person
- Sign on behalf of another person without lawful authorisation
- Use another person's identity documents without permission
- Use the Platform for fraudulent or unlawful purposes
- Attempt unauthorised access to accounts, systems, servers, or data
- Interfere with Platform operations or circumvent security controls
- Upload malicious software, code, or files, or attempt to exploit vulnerabilities
- Use automated systems, scraping, or bulk processes to abuse the Platform
- Resell, white-label, or commercially redistribute the Platform without written authorisation
- Violate applicable laws or third-party rights
WeSignDeal reserves the right to investigate suspected misuse and suspend or terminate accounts where appropriate.
17. Intellectual Property
The Platform and its associated content, software, branding, logos, interfaces, designs, workflows, template structures, technology, and materials are owned by WeSignDeal or its licensors, except where otherwise stated.
Users receive a limited, revocable, non-exclusive, non-transferable right to use the Platform for lawful personal or business purposes in accordance with these Terms.
Users must not copy, reproduce, reverse engineer, distribute, resell, commercially exploit, or create unauthorised derivative works from the Platform except where permitted by law or expressly authorised by WeSignDeal.
Documents and information uploaded by users remain subject to the rights of their respective owners. You retain ownership of your content, and you grant WeSignDeal the limited rights needed to host, process, generate, transmit, and store it for the purpose of providing the services you request.
If you send us feedback or suggestions, you agree we may use them without obligation or compensation.
18. Third-Party Services and Integrations
The Platform may integrate with third-party services, including payment providers, identity verification providers, electronic signature and eSign providers, stamp duty or eStamp service providers, communication providers, email providers, cloud and storage providers, government portals or systems, and document-processing services.
Third-party services may be governed by separate terms, privacy policies, availability conditions, and technical requirements.
WeSignDeal is not responsible for independent third-party policies, decisions, outages, interruptions, delays, or actions that are outside WeSignDeal's reasonable control.
Where a third-party service is unavailable, WeSignDeal may delay, suspend, modify, or discontinue the affected processing workflow.
19. Service Communications and Notification Preferences
WeSignDeal may send you communications relating to your account and the services you request, including account verification, security alerts, action-required notices, agreement status updates, payment and eSign notifications, stamp duty clarifications, document availability, and important Platform notices. These may be delivered by email, in-app notification, push notification, SMS, or other enabled channels.
By providing your contact details, you consent to receiving these service communications. They are part of the service and are not marketing.
Where marketing or promotional messages are sent, you may opt out using the mechanism provided. Disabling optional notifications does not prevent essential service, security, legal, or transaction-related communications where those are necessary to provide the service or comply with law.
20. Data, Records, and Retention
WeSignDeal may retain information, documents, agreements, transaction records, payment records, declaration records, audit logs, verification records, signature records, processing records, and other relevant information for providing Platform services, agreement and document processing, transaction administration, security, fraud prevention, customer support, dispute resolution, evidentiary purposes, compliance with legal obligations, establishing, exercising, or defending legal claims, and other legitimate operational purposes permitted by applicable law.
Retention periods may vary depending on the nature of the information, services provided, applicable legal requirements, contractual obligations, and legitimate business requirements.
Personal data shall be handled in accordance with the WeSignDeal Privacy Policy and applicable law.
21. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis.
To the maximum extent permitted by applicable law, WeSignDeal disclaims warranties and representations, whether express, implied, statutory, or otherwise, including warranties relating to merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, uninterrupted operation, and error-free operation.
WeSignDeal does not guarantee that:
- The Platform will always be available
- Every document will be suitable for every user or transaction
- Every agreement will be accepted by every authority or third party
- Government or third-party systems will remain available
- Processing will be completed within a specific period unless expressly agreed
- User-provided information is accurate
- A particular legal or commercial outcome will be achieved
Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded under applicable law.
22. Limitation of Liability
To the maximum extent permitted by applicable law, WeSignDeal shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from or relating to the use of the Platform. This may include loss of profits, revenue, business opportunity, or anticipated savings; loss of data; business interruption; government or registration rejection or delay; verification failure; incorrect information supplied by users; incorrect stamp duty amounts selected or confirmed by users; failure by a user to arrange applicable stamp duty; third-party service failures; government portal outages; and unauthorised account use caused by a user's failure to protect account credentials.
To the maximum extent permitted by applicable law, WeSignDeal's aggregate liability relating to a specific paid service shall not exceed the amount of WeSignDeal service fees actually paid by the user for the specific service giving rise to the claim.
Government Stamp Duty, government charges, taxes, and amounts collected for onward processing should not be treated as WeSignDeal service fees when determining this limitation.
Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
23. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless WeSignDeal and its directors, officers, employees, contractors, service providers, and affiliates from claims, losses, damages, liabilities, costs, or expenses arising from or relating to:
- Your misuse of the Platform
- False, misleading, or inaccurate information provided by you
- Forged, fraudulent, or unauthorised documents submitted by you
- Your violation of applicable law or of these Terms
- Your infringement of another person's rights
- Your unauthorised use of another person's identity or information
- Agreements, clauses, or special conditions created, modified, or submitted based on your instructions
- Stamp duty you arranged, uploaded, declined, or determined to be inapplicable
This section shall apply only to the extent permitted by applicable law.
24. Suspension and Termination
WeSignDeal may restrict, suspend, or terminate access to the Platform where reasonably necessary due to breach of these Terms, suspected fraud, submission of false or forged information, security risks, unauthorised access, payment disputes or abuse, legal or regulatory requirements, misuse of Platform services, or risk to WeSignDeal, users, or third parties.
Where appropriate and legally permitted, WeSignDeal may provide notice or an opportunity to resolve an issue.
You may stop using the Platform at any time and may request account closure using the contact details below. Termination of an account does not automatically remove obligations, liabilities, payment responsibilities, or records that arose before termination.
Provisions intended by their nature to survive termination shall continue to apply, including those relating to fees already incurred, intellectual property, disclaimers, limitation of liability, indemnification, retention, and dispute resolution.
25. Force Majeure
WeSignDeal shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, fire, flood, war, civil unrest, terrorism, strikes, government action or restriction, changes in law, failure of government portals, power or telecommunications failure, internet or hosting outages, cyber attacks, or failure of third-party service providers.
Where such an event continues, WeSignDeal may suspend or modify the affected service for the duration of the event.
26. Assignment
You may not assign or transfer your rights or obligations under these Terms without WeSignDeal's prior written consent.
WeSignDeal may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, financing, or sale of business or assets, subject to applicable law.
27. Notices
WeSignDeal may give notice to you by email to the address associated with your account, by in-app or push notification, or by posting a notice on the Platform. You are responsible for keeping your contact details current.
You may give notice to WeSignDeal using the email address in the final section of these Terms. Notices are deemed received on the next business day after transmission unless a different period is required by law.
28. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
The use of the Platform, agreements, stamp duty requirements, registration requirements, electronic signing, and related transactions may also be subject to applicable Central, State, or Union Territory laws and regulations, and — where you or another party is located outside India — to laws of other jurisdictions that apply to you.
29. Dispute Resolution
In the event of a dispute arising from or relating to these Terms or the use of the Platform, the parties shall first attempt to resolve the dispute through good-faith discussions.
If the dispute cannot be resolved amicably, it may be referred to arbitration in accordance with applicable Indian arbitration law. Unless otherwise required by applicable law, the seat and venue of arbitration shall be Gandhinagar, Gujarat, India, and the proceedings shall be conducted in English unless otherwise agreed by the parties.
Nothing in this section prevents WeSignDeal or a user from seeking urgent interim or injunctive relief from a court of competent jurisdiction where permitted by law.
Any mandatory rights or remedies available to consumers under applicable law shall remain unaffected.
30. Grievance Redressal
If you have a complaint about the Platform, a transaction, content, or the handling of your information, contact us at info@wesigndeal.com with the subject line "Grievance" and include your account email, the agreement reference where relevant, and a description of the issue.
We will acknowledge your complaint and aim to respond within the period required by applicable law. Privacy-specific grievances are also addressed in our Privacy Policy.
31. Modifications to These Terms
WeSignDeal may modify these Terms from time to time to reflect changes to Platform services, new features, changes in operational processes, changes in third-party services, changes in applicable law or regulatory requirements, and security or compliance requirements.
